Terms of Service

These terms govern your use of Concordex (the "Service"). By opening a workspace or sending events to the Service, you agree to them. Read them. If a term doesn't work for your organization, tell us before relying on the Service.
§1Scope
Concordex is a platform that records agent behavior, reasons about it against a vocabulary you install, and produces an auditable record of every conclusion. These terms cover the hosted Service at concordex.ai and at customer-specific subdomains we issue. Self-hosted deployments are governed by a separate agreement.
§2Your account and your workspaces
You create a workspace by signing in at a Concordex hostname we operate. Your account is identified by your work email. You're responsible for the security of any credentials issued to your account, including API keys you create from the dashboard.
You may invite collaborators into your workspace with one of the seat roles documented in the dashboard. You're responsible for the actions taken in your workspace by users you invite.
§3Your data and the records we produce
You own your inputs. Behavior events you send to the Service ("Customer Data") remain your property.
You own the records we produce from them. The reasoning traces, soul snapshots, and ledger entries the Service produces from your inputs are derivative of your data and belong to you. We retain the right to operate, debug, and improve the Service using aggregate, non-identifying signals, as described in the Privacy Policy.
We act as your processor for Customer Data. Where personal data is involved, our processing is governed by the Data Processing Addendum, which is incorporated into these terms by reference.
§4Availability and support
The Service is offered on a commercially reasonable basis. We target 99.9% monthly availability for the API and dashboard, with planned maintenance windows announced in the changelog. Support response targets follow the response window published on the contact page: one business day for sales, partnership, and press inquiries; in-product inbox for active customers; same business day acknowledgement for security disclosures.
§5Fees and metering
The Service is metered per resource. Each workspace begins on a built-in free allowance that renews monthly. Consumption above the free allowance is billed at the published rate schedule. The schedule is the live source of truth for what a resource costs.
Rate changes go through a controlled-record publish: the new schedule appears on the marketing site at the same moment your billing surface starts using it, and a tamper-evident ledger entry is written. We give at least 14 days' notice for any rate increase that affects existing customers.
§6Prohibited uses
You agree not to use the Service to:
- Process personal data of minors without verifiable consent;
- Build profiles or scoring systems for surveillance of individuals outside your own organization;
- Circumvent the metering or attempt to bypass authentication;
- Send data that is unlawful for you to send, or that violates the rights of third parties;
- Resell the Service or operate a competing service using outputs from the Service.
§7Suspension and termination
Either party may terminate a workspace at any time. We will give you at least 30 days to export your data before deletion, unless you ask for earlier deletion in writing or unless ongoing use materially harms other customers or violates §6. We may suspend access immediately for security reasons; we will tell you when we do, and why, as soon as it is safe to.
§8Warranties and disclaimers
The Service is provided "as is." We do not warrant that the reasoning outputs are correct, complete, or fit for a particular purpose. The Service is intended to record what an agent did and produce evidence that supports human review — not to replace that review.
§9Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of these terms is limited to the fees you paid us in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
§10Changes to these terms
We may update these terms. Material changes will be announced in the changelog at least 14 days before they take effect. If you keep using the Service after that, you accept the new terms.
§11Governing law
These terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Maryland.
